Share ledger template for Swedish limited companies

A share ledger template can help you organize a company’s shares and shareholders in a table. For a Swedish limited company that is not a central securities depository company (avstämningsbolag), the completed ledger must contain the information required by Chapter 5, Section 5 of the Swedish Companies Act. The template below is a starting point, not a guarantee that your company’s ledger is complete.

A simple template to copy

Select “Copy template” and paste it into a spreadsheet. If the button does not appear, you can copy the table manually. Then enter the company’s actual information. The placeholder row illustrates the fields; it is not a real share ledger.

[number][name][identifier][postal address][class, if more than one][yes/no][restriction, if applicable][date]

List the shares in numerical order. Record each share’s number, its owner, the owner’s identifying information and postal address. Include share class if the company has more than one class, and information about share certificates and certain restrictions where applicable. See Chapter 5, Section 5 and our fuller guide to what a Swedish share ledger must contain.

Additional details may be required in particular cases, such as when a rights holder must be entered under Chapter 5, Section 6. Depository companies have different content rules; do not use the table above without checking which rules apply to your company.

Keep the template up to date

A file works as a share ledger only if its contents remain accurate. Once an acquisition has been proved, the new shareholder must be entered without delay. Other changes that must be recorded also need prompt entry, and entries must be dated unless their timing is clear from other available material. See Chapter 5, Section 9.

The ledger must also be preserved and made available under Chapter 5, Sections 3 and 10. If you use a spreadsheet, you need your own procedures for changes, earlier entries and access. Read more about digital share ledgers versus Excel.

A free digital alternative

If you prefer not to manage separate files, you can keep your Swedish share ledger digitally in Kvanta for free. Ownership events, approvals and historical versions stay together in one place.
